FULL CIRCLE FUNDING SOLUTIONS LLC — CONSULTING AGREEMENT

Introduction

This Consulting Agreement ("Agreement") is entered into between the Client and Full Circle Funding Solutions LLC ("Consultant") effective as of the last date signed. The Consultant offers services to assist the Client in securing personal and/or business loans.

Services

Consultant's Responsibilities:

Provide professional, administrative, and consultancy services to secure funding as per the Client's application.
Use reasonable efforts to find lending institutions and assist in application processes.
Prepare credit applications after reviewing the Client's credit report.

Client's Acknowledgements:

The Consultant is not a lender and does not influence lending decisions.
All repayment liability rests with the Client.
The Client agrees that loan applications may affect credit scores and authorizes credit report access.

Term

The Agreement will commence on the effective date and will last for six (6) months.

Compensation & Payment

Payment Structure: The Client shall pay the Consultant 15% of the total funding received within one (1) business day of receipt.
Payments must be made in U.S. Dollars via wire transfer or certified checks.
Late or no payments may incur interest and be reported to credit bureaus. Additionally, the loans and/or lines of credit may be canceled.

Restrictive Covenant / Non-Circumvention

In consideration of the contingent fee arrangement, during the term of this Agreement, the Client agrees not to circumvent the Consultant by applying for loans with any third-party lending institution or partner suggested by the Consultant. The Client shall be liable for payment in full to the Consultant in the event of any breach of this restrictive covenant.

The Client agrees not to bypass the Consultant by applying to lending institutions suggested by the Consultant during the term of this Agreement.

Independent Contractor Status

The Consultant is considered an independent contractor and is responsible for its own taxes. The Client shall not withhold taxes on behalf of the Consultant.

Indemnification

The Client agrees to hold the Consultant harmless from any claims or liabilities arising from the Consultant's services.

Miscellaneous

Governing Law: This Agreement shall be governed by the laws of the State of Georgia.
Severability: If any provision of the Agreement is found to be invalid, the remaining provisions will stay in effect.
Dispute Resolution: Disputes shall be resolved through binding arbitration in Fulton County, Georgia.
